These Terms and Conditions of Use (“Terms”) govern the access and use of the mobile application KIRU+, its services, digital content, subscription features, educational resources, artificial intelligence tools, and related services (collectively, the “App” or “Service”).

By creating an account, accessing, browsing, subscribing to, or using KIRU+, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree with these Terms, you must not use the App.

These Terms are entered into between you, as user of the App, and MedSurgery Store For Digital Health S.A.S. de C.V. (“MedSurgery,” “KIRU+,” “we,” “us,” or “our”).

2. Nature of the Service

KIRU+ is a digital platform designed to provide educational, academic, organizational, and professional development tools related to medicine, surgery, clinical learning, healthcare education, and professional practice.

The App may include, depending on the user’s subscription level and availability:

Medical and surgical educational content.
Academic modules.
Clinical summaries.
Study tools.
Professional learning resources.
Artificial intelligence-assisted educational features.
Voice or text interaction tools.
User profile and progress features.
Subscription-based premium content.
Links to physical products or external stores.
Legal, privacy, and medical disclaimer screens.

KIRU+ is intended primarily for healthcare professionals, medical students, surgical residents, and users interested in medical education.

3. Medical and Educational Disclaimer

KIRU+ is an educational and informational tool only.

The App does not provide medical diagnosis, medical treatment, emergency medical services, personalized medical advice, prescription recommendations, surgical indications, or patient-specific clinical decisions.

No content within KIRU+ should be interpreted as a substitute for:

Professional medical judgment.
Direct physician-patient evaluation.
Hospital protocols.
Institutional clinical guidelines.
Emergency medical care.
Specialist consultation.
Applicable laws, regulations, or professional standards.

Users are solely responsible for verifying any information obtained through the App before applying it in any academic, clinical, educational, or professional setting.

In case of a medical emergency, users must contact emergency services or a qualified healthcare provider immediately.

4. No Doctor-Patient Relationship

Use of KIRU+ does not create a doctor-patient relationship, healthcare provider-patient relationship, professional advisory relationship, fiduciary relationship, or any other regulated healthcare relationship between the user and MedSurgery.

Any examples, cases, summaries, artificial intelligence responses, or educational materials provided in the App are for general educational purposes and must not be used as the sole basis for clinical decisions.

5. Artificial Intelligence Features

KIRU+ may include artificial intelligence-assisted features, including but not limited to educational assistants, medical content summarization, voice interaction, question answering, text generation, or learning support tools.

AI-generated outputs may be incomplete, inaccurate, outdated, biased, or inappropriate for a specific case. Users must independently verify all AI-generated information.

The AI features are not intended to:

Diagnose disease.
Recommend individualized treatment.
Replace a licensed healthcare professional.
Interpret medical data for patient care without professional review.
Provide emergency medical guidance.

Users agree not to rely exclusively on AI-generated content for medical, legal, financial, or safety-critical decisions.

6. Eligibility

By using KIRU+, you represent that:

You are legally capable of accepting these Terms.
You are at least 18 years old or have the legal consent of a parent or guardian where required.
The information you provide is true, accurate, and current.
You will use the App in compliance with applicable laws and professional standards.
You will not use the App for unlawful, harmful, fraudulent, abusive, or unauthorized purposes.

KIRU+ is not intended for unsupervised use by children.

7. User Account

Certain features may require account registration.

You are responsible for:

Maintaining the confidentiality of your login credentials.
All activity occurring under your account.
Keeping your account information accurate.
Not sharing your account with unauthorized third parties.
Immediately notifying us of unauthorized access or suspicious activity.

We may suspend or terminate accounts that violate these Terms, misuse the App, compromise security, or engage in fraudulent or abusive behavior.

8. Subscriptions and Premium Access

KIRU+ may offer auto-renewable subscriptions that provide access to premium features, premium educational content, AI-assisted tools, or other paid functionality.

Subscription details may include:

Subscription name.
Subscription duration.
Subscription price.
Renewal period.
Included features.
Trial period, if applicable.
Cancellation terms.

The specific subscription title, duration, price, and renewal conditions will be displayed in the App before purchase.

For iOS users, digital subscriptions are processed through Apple’s In-App Purchase system and are subject to Apple’s applicable terms, including Apple’s standard End User License Agreement where applicable.

Apple requires apps offering auto-renewable subscriptions to disclose subscription title, length, price, and links to the Privacy Policy and Terms of Use/EULA in the app and metadata.

9. Auto-Renewal, Billing, and Cancellation

If you purchase an auto-renewable subscription through Apple:

Payment will be charged to your Apple ID account at confirmation of purchase.
The subscription automatically renews unless canceled at least 24 hours before the end of the current billing period.
Your account may be charged for renewal within 24 hours before the end of the current period.
You may manage or cancel your subscription in your Apple ID account settings.
Deleting the App does not automatically cancel your subscription.
Any unused portion of a free trial, if offered, may be forfeited when purchasing a subscription, where permitted by Apple’s rules.

Subscription management is handled by Apple. KIRU+ cannot directly cancel, refund, or modify Apple-managed subscriptions outside the mechanisms provided by Apple.

To manage subscriptions on iOS:

Settings > Apple ID > Subscriptions

10. Refunds

For purchases made through Apple In-App Purchase, refund requests are handled by Apple according to Apple’s policies and applicable law.

Users may request a refund through Apple’s official refund process.

KIRU+ does not control Apple’s refund decisions.

For purchases of physical goods through external stores, refund, shipping, warranty, exchange, and return policies are governed by the applicable external store terms and consumer protection laws.

11. Physical Goods and External Store

KIRU+ may include a store section or links to external websites where users can view or purchase physical goods, such as medical clothing, educational materials, instruments, accessories, or other physical products.

Physical goods are not digital content or digital services unlocked inside the App.

External purchases may be processed by third-party platforms, payment processors, or external websites. When you access an external store, you may be subject to that store’s own terms, privacy policy, shipping policy, refund policy, and payment conditions.

KIRU+ is not responsible for third-party website availability, errors, payment failures, inventory changes, pricing changes, shipping delays, or external checkout issues, except where required by applicable law.

12. Acceptable Use

You agree not to:

Use the App for illegal purposes.
Use the App to provide unauthorized medical advice to third parties.
Upload or process patient-identifiable data unless expressly permitted and legally authorized.
Use the App in emergencies or critical care as a substitute for professional judgment.
Reverse engineer, decompile, or attempt to extract source code.
Circumvent subscription, payment, security, or access controls.
Share premium content without authorization.
Use automated systems to scrape, copy, or overload the Service.
Upload malicious code, harmful files, or unlawful content.
Misrepresent your identity or credentials.
Violate intellectual property rights.
Use the App in a way that could damage MedSurgery, users, patients, healthcare institutions, or third parties.

13. User Content

The App may allow users to enter, upload, generate, or save information, notes, preferences, academic records, images, audio, or other content.

You retain ownership of your user content, subject to the rights necessary for us to operate the Service.

By submitting content to the App, you grant MedSurgery a limited, non-exclusive, worldwide, revocable where legally applicable, royalty-free license to process, store, transmit, display, and use such content solely as necessary to provide, secure, improve, and maintain the Service.

You are responsible for ensuring that your content does not violate laws, privacy rights, professional obligations, institutional rules, confidentiality duties, or third-party rights.

14. Patient Data and Sensitive Information

Unless expressly authorized in writing by MedSurgery and supported by appropriate legal and technical safeguards, users must not upload, store, transmit, or process identifiable patient data through KIRU+.

If users enter sensitive personal data, health data, or confidential information into the App, they are responsible for ensuring that they have all required authorizations, consents, legal bases, and institutional approvals.

MedSurgery may delete or restrict content that appears to contain unauthorized sensitive data, patient-identifiable data, or unlawful information.

15. Privacy and Data Protection

Use of KIRU+ is also governed by our Privacy Policy.

For users in Mexico, personal data processing is subject to applicable Mexican privacy laws, including the Ley Federal de Protección de Datos Personales en Posesión de los Particulares, which regulates lawful, controlled, and informed processing of personal data by private parties and recognizes user rights regarding access, rectification, cancellation, and opposition.

Depending on your jurisdiction, you may have rights to access, correct, delete, restrict, object to, or port your personal data.

16. Account Deletion

Users may request account deletion through the App or by contacting:

When you request account deletion, we may delete or anonymize your personal data, subject to legal, tax, security, fraud prevention, compliance, dispute resolution, or legitimate recordkeeping obligations.

Certain data may be retained where required by law or necessary to protect legal rights.

Deleting your KIRU+ account does not automatically cancel an Apple-managed subscription. You must cancel your subscription through your Apple ID settings.

17. Intellectual Property

All rights, title, and interest in and to KIRU+, including software, design, trademarks, logos, icons, interfaces, text, educational materials, graphics, videos, audio, algorithms, databases, and other content, are owned by or licensed to MedSurgery.

Except as expressly permitted, users may not copy, reproduce, distribute, modify, translate, sell, rent, sublicense, publicly display, publicly perform, reverse engineer, or create derivative works based on the App or its content.

“KIRU+,” “KIRU+ Pro,” related logos, and associated branding are proprietary marks of MedSurgery or its licensors.

18. License to Use the App

Subject to your compliance with these Terms, MedSurgery grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the App on devices you own or control, solely for lawful personal, academic, or professional educational purposes.

This license does not transfer ownership of the App or any content.

19. Third-Party Services

KIRU+ may integrate or link to third-party services, including but not limited to:

Apple App Store.
Apple In-App Purchase.
Supabase.
RevenueCat.
Stripe or external payment providers.
Analytics services.
Error monitoring services.
External websites.
AI service providers.
Hosting or cloud infrastructure providers.

Third-party services are governed by their own terms and privacy policies. MedSurgery is not responsible for third-party services except as required by applicable law.

20. Availability and Changes to the Service

We may update, modify, suspend, replace, or discontinue any part of the App at any time, including features, content, subscriptions, pricing, integrations, or availability.

We do not guarantee uninterrupted, error-free, or permanent availability of the App.

Some features may depend on internet access, device compatibility, operating system versions, third-party services, or account status.

21. Updates

We may release updates to improve performance, security, compliance, content, functionality, or compatibility.

Some features may stop working if you do not install the latest version of the App.

22. No Warranty

To the maximum extent permitted by applicable law, KIRU+ is provided on an “as is” and “as available” basis.

MedSurgery does not warrant that:

The App will be uninterrupted or error-free.
The content will always be accurate, complete, or current.
AI-generated information will be correct.
The App will meet every user’s expectations.
The App will be suitable for a specific clinical, academic, legal, or professional purpose.
External websites or third-party services will remain available.

Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable consumer protection laws.

23. Limitation of Liability

To the maximum extent permitted by applicable law, MedSurgery, its officers, directors, employees, contractors, partners, licensors, and affiliates shall not be liable for indirect, incidental, consequential, special, punitive, exemplary, or loss-of-profit damages arising from or related to use of the App.

MedSurgery shall not be liable for harm resulting from:

Misuse of educational content.
Reliance on AI-generated information.
Failure to seek professional medical advice.
User-provided incorrect information.
Unauthorized use of patient data.
Third-party service interruptions.
External checkout errors.
Internet or device failures.
User violation of these Terms.

This limitation applies to the fullest extent permitted by law.

24. Professional Responsibility

Healthcare professionals using KIRU+ remain fully responsible for their own clinical judgment, professional decisions, licensing obligations, institutional rules, ethical duties, and compliance with applicable medical standards.

KIRU+ does not validate or replace clinical competence, medical training, board certification, institutional credentialing, or professional supervision.

25. Consumer Protection

If you are a consumer under applicable law, you may have mandatory rights that cannot be waived by contract.

In Mexico, e-commerce and consumer-related activities may be subject to consumer protection principles overseen by the Procuraduría Federal del Consumidor, including transparency, truthful advertising, protection of consumer rights, and responsible digital commerce practices.

Nothing in these Terms limits non-waivable rights granted by applicable consumer protection laws.

26. International Use

KIRU+ may be accessed from different countries. Users are responsible for complying with local laws applicable to their use of the App.

We do not represent that the App, content, subscriptions, AI features, or external products are appropriate, available, authorized, or lawful in every jurisdiction.

Access to the App may be restricted where required by law or operational limitations.

27. Suspension or Termination

We may suspend or terminate your access to KIRU+ if:

You violate these Terms.
You misuse the App.
You attempt to bypass payment or security controls.
You provide false information.
Your use creates legal, security, technical, or reputational risk.
Required by law, platform policies, or third-party provider rules.

Upon termination, your right to use the App will cease. Certain provisions of these Terms will survive termination, including intellectual property, disclaimers, limitation of liability, privacy-related obligations, and dispute provisions.

28. Changes to These Terms

We may update these Terms from time to time.

When changes are material, we may notify users through the App, email, website, or other reasonable means.

Continued use of KIRU+ after changes become effective means you accept the updated Terms.

The “Last updated” date indicates the latest revision.

29. Governing Law

These Terms shall be governed by the laws of Mexico, without prejudice to any mandatory consumer protection rights or privacy rights that may apply in the user’s country of residence.

Where legally permitted, disputes shall be submitted to the competent courts of Mexico.

If applicable law grants you the right to bring claims in your place of residence, nothing in these Terms limits such non-waivable rights.
